Terms of service
These terms govern access to and use of the ThreatWarder website and platform (the "Service") provided by [legal entity name] ("ThreatWarder", "we"). By using the Service you agree to these terms. If you are using the Service on behalf of an organisation, you confirm that you are authorised to bind it.
1. The Service
ThreatWarder detects online abuse of our customers' brands and content, documents it, and submits takedown requests to third parties such as registrars, hosting providers, platforms and designated copyright agents. Customers purchase the Service under an order form that specifies brands, channels, term and fees. Those order forms, these terms and the Data Processing Addendum together form the agreement.
2. Customer responsibilities
- You must have the rights necessary to enforce the brands, trademarks and content you ask us to protect, and you authorise us to act on your behalf when submitting takedown requests.
- You are responsible for the accuracy of the information you provide and for reviewing notices where the Service asks for your confirmation.
- You must keep account credentials secure and notify us promptly of any unauthorised use.
- You must not use the Service to target lawful content, to harass, or to interfere with any third party's rights.
3. Takedown outcomes
Removal decisions are made by third parties. We use reasonable efforts and documented escalation paths, but we do not guarantee that any particular item will be removed or how long removal will take. Service levels, if any, are set out in the order form.
4. Fees and payment
Fees are stated in the order form and are payable [within 30 days of invoice]. Late payments may accrue interest at [rate]. Fees are exclusive of taxes.
5. Intellectual property
ThreatWarder retains all rights in the Service, including software, detection models and documentation. You retain all rights in your brands, content and the data you provide. You grant us a licence to use that data to provide the Service.
6. Confidentiality
Each party will keep the other's confidential information confidential and use it only to perform under the agreement, subject to the usual exceptions for information that is public, independently developed or required to be disclosed by law.
7. Data protection
Personal data processed on your behalf is governed by the Data Processing Addendum. Our handling of website visitors' data is described in the privacy policy.
8. Warranties and liability
We warrant that the Service will perform materially as described. Except as expressly stated, the Service is provided without other warranties. To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's total liability under the agreement is limited to [the fees paid in the twelve months before the claim]. These limits do not apply to breaches of confidentiality, data protection obligations, or liability that cannot be limited by law.
9. Term and termination
The agreement runs for the term in the order form and renews as stated there. Either party may terminate for material breach that is not cured within 30 days of notice. On termination we will delete or return customer data as described in the Data Processing Addendum.
10. General
These terms are governed by the laws of [jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction. Notices must be in writing to [[email protected]] or the address in the order form. If any provision is unenforceable the rest remains in effect.
